The purchase price structure splits between cash and up to 2.5 million newly issued eToro Class A common shares, subject to customary purchase price adjustments. Management states the transaction is expected to be accretive to adjusted EPS in the first full year post-close.

For copy-trading infrastructure specifically, the acquirer's main variable is whether TradeZero's order-routing stack gets bolted on as a separate execution path or folded into eToro's existing API endpoints.

Per the release, TradeZero's tooling was built "by active traders, for active traders" since 2015 — language consistent with retail-focused frontends, short-fee rebates, and direct-access routing rather than institutional OMS-grade components. Whether that stack survives integration or gets deprecated in favor of eToro's existing platform is the operational variable.

For users of social-trading networks on the eToro side, three data points will determine whether the acquisition changes execution behavior:

1. Routing migration: whether TradeZero accounts continue to clear through the existing US broker-dealer or migrate to eToro's infrastructure post-close.

2. API surface: whether TradeZero's proprietary endpoints are exposed to third-party signal providers or remain internal-only.

3. Product overlap: TradeZero's active-trader feature set (short-selling, level-2/level-3 data, commission structure) versus the existing eToro offering — overlap ratio will indicate which client base is being cross-sold into which platform.

The H1 2027 close date leaves a multi-quarter window during which platform terms, fee schedules, and available instruments can shift on both sides without immediate notice to existing clients.
